Terms and Conditions

Rozenberg Partners OÜ provides business consultancy, accounting, marketing, real estate support, and human resource services as agreed between the parties. All tasks and deliverables will be detailed in a written agreement, which must be confirmed by the client before work commences.

Unless otherwise specified in a signed agreement:

• Invoices are due within 14 calendar days of the delivery of the service or invoice date, whichever is later.
• Late payment may result in interest charges as outlined in any signed contract.
• For ongoing services (e.g. monthly accounting), payment is due at the beginning of each billing period unless agreed otherwise.
• All prices are stated exclusive of VAT. Estonian VAT (24%) applies where applicable.

All marketing materials, reports, analyses, and other deliverables created as part of our services remain the intellectual property of Rozenberg Partners OÜ until the invoice for those services has been paid in full.

Upon full payment, ownership of the deliverables transfers to the client. Rozenberg Partners retains the right to use anonymised or aggregated data derived from our work for internal improvements and service development.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Rozenberg Partners will not disclose client information to third parties without the client's prior written consent, except where required by law or regulation.

This obligation of confidentiality continues after the termination of the service agreement.

To the fullest extent permitted by applicable law, Rozenberg Partners OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of our services.

Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the three months preceding the claim.

• Either party may terminate an ongoing service agreement by providing at least 30 days' written notice.
• All outstanding fees and payments must be settled upon termination.
• Upon termination, Rozenberg Partners will provide a complete handover of all client documents, data, and work in progress within a reasonable period.
• Termination does not affect any accrued rights or obligations of either party prior to the termination date.

By engaging our services or using our website, you agree not to:

• Provide false or misleading information.
• Use our services for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorised access to our systems or data.
• Engage in any activity that could damage, disable, or impair our services or reputation.

In the event of a dispute, both parties are encouraged to resolve the matter directly through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute may be submitted to mediation or arbitration under Estonian law.

If alternative dispute resolution is unsuccessful, disputes will be referred to the courts of Estonia.

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Estonia. Any legal proceedings arising from or related to these terms shall take place in the courts of Estonia.

We reserve the right to modify these Terms and Conditions at any time. Updates will be posted on this page with a revised date. Continued use of our services after changes are posted constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
