Estonian e-Residency is a government-issued digital identity that allows non-residents to access Estonia's digital services. With it you can register and manage an EU company entirely online, sign documents digitally, submit tax declarations, and use Estonian banking and payment services — all without visiting Estonia. It is not a visa, not a physical residency permit, and does not grant the right to live in Estonia or use Estonian social services.

e-Residency is not a travel visa, a path to citizenship, or tax residency in Estonia. Your company's tax obligations depend on where it is managed and generates value — not simply where it is registered. If your business is genuinely managed from another country, that country may have the right to tax it. We always recommend consulting a tax adviser familiar with your country of residence before relying solely on Estonian corporate tax rules.

Citizens of most countries worldwide can apply for e-Residency. Applications are reviewed individually by the Estonian Police and Border Guard Board. Applicants with criminal records or from high-risk jurisdictions may be declined. The application costs €120 and takes around 2–8 weeks to process. You collect the card from a designated Estonian embassy or police station in your country or region.

With e-Residency, no. You can register a company, sign contracts, submit tax declarations, and manage your business entirely online. The only time physical presence or a Power of Attorney is needed is if you do not have an e-Residency card and want to complete certain notarised transactions — such as a share transfer. We arrange Power of Attorney services so you never need to travel.

Your company name must be unique — not already registered in the Estonian Business Register. It must be written in the Latin alphabet, must not be misleading about your activities, and must not conflict with existing trademarks or be contrary to good morals. We check name availability and ensure it meets all legal requirements as part of the formation process.

After formation you must: maintain a legal address in Estonia with a licensed contact person (if your management board is abroad), file an annual report each year, submit tax declarations on time, keep proper accounting records, and adhere to any sector-specific licensing requirements. We handle all of this through our accounting, address, and consultancy services so nothing falls through the cracks.

It is useful when you need a local person to sign documents with banks, authorities, and partners without granting full directorship. Our Prokura service costs €150/month and includes legal address and contact person at no extra charge — making it an efficient all-in-one solution for founders who need a trusted local presence.

The minimum share capital for an OÜ is €0.01. However, if the share capital is not paid in full, the shareholder remains personally liable to the company for unpaid amounts — up to €2,500. For most purposes, we recommend paying in even a small amount of share capital to establish clean separation between the founder and the company from day one.

Yes. If you do not have an e-Residency card, we can register the company on your behalf using a notarised Power of Attorney. Our fee for this service is €690 + VAT. Additional costs include the state fee (€200), sworn translator, and notary fees — the estimated total is from €1,600. We handle all coordination once you provide the signed and notarised documents.

We offer full bookkeeping and accounting services: transaction recording, invoice management, bank reconciliation, payroll processing, VAT declaration preparation, TSD and KMD filings, and annual report submission. We have three monthly plans — Starter (€110/mo, 0–40 invoices), Growth (€165/mo, 40–80 invoices), and Active (€165/mo base + €55/hr for volumes above 80). Payroll processing is available as a €15/employee/month add-on.

Estonia has a unique corporate income tax system: the standard rate is 0% on retained and reinvested profits. You only pay corporate income tax when profits are distributed to shareholders — at an effective rate of 20% (the gross distribution is divided by 0.8). This system is specifically designed to encourage business growth and reinvestment, making Estonia one of the most business-friendly tax environments in the EU.

VAT registration becomes mandatory when your taxable turnover in Estonia exceeds €40,000 in a calendar year. It is also required when providing cross-border services to other EU VAT-registered businesses, or when purchasing EU cross-border services above a certain threshold. We recommend registering voluntarily in some cases — for example, when you have significant input VAT to reclaim. Our VAT registration service costs €85 + VAT (free with company formation).

An audit is mandatory if your company meets at least two of three criteria: annual revenue over €4 million, assets over €2 million, or average 60+ employees. A review audit is required for smaller thresholds: revenue over €1.6M, assets over €800k, or 24+ employees. Most small OÜs with e-Resident founders do not require an audit. We determine your specific obligations and plan accordingly.

Even a dormant company with no activity must file an annual report declaring its inactivity. Failing to do so results in fines and can eventually lead to forced dissolution by the Business Register. This "zero activity" report is simple but mandatory. We prepare and submit it on your behalf as part of our accounting packages or as a standalone service.

Our payroll add-on (€15/employee/month) covers salary calculations, TSD (employment taxes) declarations to the MTA, payslip generation, and social tax filings. Estonian employers must pay social tax of 33% on gross salaries and withhold income tax. We handle all of this automatically each month so there are no missed deadlines or penalties.

Yes. There is no lock-in. You can cancel your accounting package with 30 days' notice. We will ensure all books are fully handed over and up to date so you can transition to another provider or take over in-house without any gaps. We also help you find a replacement provider if needed.

If you have an Estonian legal address (like ours), a contact person is technically optional — but most founders keep it for reliable mail handling and compliance peace of mind. Our combined address and contact person service starts at €119/year for new clients.

We forward all official correspondence addressed to your company — letters from EMTA (Tax Board), RIK (Business Register), Statistics Estonia, courts, and other authorities. Every letter is scanned and emailed to you promptly, typically the same or next business day it arrives. We do not forward physical commercial mail (e.g., marketing), only official government and legal correspondence.

Yes. Our Tallinn address at Pärnu mnt 186 is a real physical business premises and meets the address requirements for most FIU, EMI, and activity licence applications. For specific licensing queries — particularly for financial services or crypto — we recommend booking a consultation to confirm suitability for your specific licence type.

When you update your company's address or contact person in the Business Register, the state charges a one-time €25 fee. This is paid directly to the state through the Business Register portal — not to us. It applies both for first-time setup and when switching from another provider. We provide step-by-step guidance on how to make this change.

Each company requires its own separate subscription. If you manage multiple Estonian companies, contact us and we can discuss a bundled arrangement. Each company's correspondence is tracked and forwarded individually to ensure nothing gets mixed up between entities.

In most cases we send your official Tallinn address and contact person details on the same business day as payment confirmation. Orders placed late on Friday or over weekends are processed the next business day. You acquire 100% of the shares — the legal entity itself, including its registration number, VAT number, existing contracts, bank accounts, domain names, client relationships, and all assets listed in the transfer agreement. The exact transfer list is agreed and documented before signing. For shelf OÜs, this means a clean company with no history, ready to trade immediately. For active businesses, it includes the full operating business.

As the new shareholder you take on the company as it stands — including any undisclosed liabilities. This is why due diligence is essential. We verify the company's tax standing with the MTA, check for outstanding obligations in the Business Register, and review all material contracts before you sign. For shelf OÜs with no prior activity, this risk is essentially zero. For active businesses, we provide a clear due diligence summary.

A clean shelf OÜ can transfer in 3–5 business days once both parties agree. An active business with financials and contracts typically takes 2–4 weeks from first contact to completed transfer — depending on due diligence complexity and notary scheduling. If both parties have e-Residency, the entire process including notary signing can be done fully remotely via the Estonian e-notary portal.

No. Listing is completely free. Our service fee of €280 + VAT (plus €85/hr for any additional work) applies only when the sale proceeds to the notary and document preparation stage. You pay nothing upfront to have your company listed, marketed to buyers, and buyer enquiries handled by us. We only earn when a deal completes.

Yes — this is exactly what e-Residency was designed for. If you have a digi-ID, you can complete the entire sale remotely via the Estonian e-notary portal using Veriff biometric verification and a secure video link to the notary.
